Veneo Terms of Service
Last Modified:
Introduction
Thank you for visiting Veneo. It’s our goal to help venue owners and managers grow their business by connecting them with qualified, serious event planners and organizers through a marketplace and workflow platform that helps event planners and organizers discover, evaluate, request, and book gathering Venues and related services. We are committed to providing an experience like none other, while maintaining the safety of those who book and Property Manager Venues.
These Terms of Service (“Terms”) are a contract entered into between You (“you,” “your,” “yours”) and Veneo Inc., a Delaware corporation (collectively, “we,” “our,” “us,” or “Veneo”). These Terms, together with our Privacy Policy, Property Manager Policy, Event Organizer Policy, Nondiscrimination and Accessibility Policy, Payments and Refund Policy, and Cancellation Policy, each of which is hereby incorporated by reference, govern your use of and access to the Veneo website, applications, and related online services (the “Platform”) that link to these Terms, and any content, functionality, and services offered, purchased, ordered, interacted with, viewed, or accessed on or through the Platform, including, without limitation, Managing a Venue or booking a Venue (the “Services”).
The Platform enables users to publish, offer, search for, and reserve or book venues (each, a “Venue”). Users who submit, publish, offer, and provide Venues are “Property Managers” and users who search for, reserve or book Venues, or otherwise use the Services without becoming a Property Manager are “Event Organizers.” As the provider of the Platform, Veneo does not own, control, offer, or manage any Venue. Veneo is not a party to the contracts entered directly between Property Managers and Event Organizers, nor is Veneo a real estate broker, travel agency, or insurer. Veneo is not acting as an agent in any capacity for any User, except in regards to Payments (see our Payments and Refund Policy).
These Terms apply to all visitors, users, and others who wish to read, access, or use the Platform and any other associated website or application, whether or not you otherwise interact with the Platform. THESE TERMS CONTAIN VERY IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS. PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE PLATFORM OR SERVICES.
If you do not agree to these Terms, do not access or use the Services.
For any questions about these Terms, please contact us via email to support@veneo.ai

2. Eligibility and Acceptance
- Acceptance. By reading, accessing, or using the Platform or Services, or by creating an Account (see “Accounts,” below), you accept and agree to be bound and abide by these Terms. IF YOU DO NOT AGREE TO THE ENTIRETY OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM OR SERVICES.
- Persons Who Cannot Accept. You cannot accept these Terms if:
- you are not physically present in the United States at the time of your access to the Platform; or
- you are under the age of 18.
It is your responsibility to ensure that you are legally allowed to enter into these Terms and that you do not violate any applicable laws.
- Using the Services on behalf of an organization. If you access or use the Services on behalf of a company, nonprofit, venue, agency, or other legal entity, or in connection with providing or receiving services on behalf of a company, nonprofit, venue, agency, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms and the entirety of these Terms, and you further understand and agree that you are binding both you and that entity or agency to the entirety of these Terms. By creating an Account, making or accepting a Booking, paying a deposit, or otherwise accepting a benefit through the Services in an organizational capacity, you and your organization are jointly bound by these Terms. In that event, “you,” “your,” and “yours,” refers to and will apply to both you as an individual and that entity or agency. If you do not have that authority, you may not use the Services in that capacity and you will be personally responsible for any fees, obligations, or liabilities incurred through your use of the account.
- Modification. We, or our third-party affiliates, may make improvements and/or changes to the capabilities, features, prices, and availability of the Platform or Services at any time without notice. You agree that we are not and will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Platform, the Services or any portion or functionality thereof. The preceding two sentences do not apply to the rights and obligations of the sections titled “Limitation of Liability,” or “Dispute Resolution,” and if a change or modification of any such sections is made, you will be notified through the Platform and/or via an email address or other contact method you have provided to us. Your continued use of the Platform or Services after any such change constitutes acceptance of the new, additional, or modified Terms.
3. Accounts
- Creation. Users can create an account by providing the requested information when prompted. Upon verification of your identity through a third-party service and confirming your information, your Account is created (an “Account”). Each individual is only permitted to have one Account and if your Account is terminated by us for a breach of these Terms, you may not be permitted to create another Account. You can log in to your Account by selecting “Sign In” on the Platform.
- Identity Verification Services and Background Checks. Prior to becoming a Property Manager or creating a Booking or a Listing, we may require that you verify your identity through a third-party service. Veneo does not and will not have access to any information you provide to that third-party service, only if your identity has been sufficiently verified. You may elect to undergo an additional background check process from a third-party service provider offered on the Platform.
- Single Sign-On Services. You may be permitted to use a third-party’s single sign-on service to create or log in to an Account, subject to the terms of that third-party’s service to which you must agree to use the single sign-on service. That third party will share certain information with us when you use their single sign-on service. We are not responsible or liable for your use of a third-party’s single sign-on service to create or log in to an account with Veneo. If you do not want to use a third-party’s single sign-on service, you may fill in the account creation form by providing the requested information, pursuant to Section 3(a), above.
- Personal Nature. You acknowledge that your Account is personal to you, or the authorized users of the business or entity you represent, as we may permit from time to time, and individuals, including you, are not permitted to provide any other person with access to the Platform or Services or portions of it using your email address, password, or other security information.
- Confidentiality and Security. You are responsible for maintaining the confidentiality of your data and for monitoring and, if necessary, restricting access to your devices. Any email address, password, or any other information chosen by you or provided to you as a part of our security procedures, must be treated as confidential, and you must not disclose it to any other person or entity. You must exercise caution when accessing your Account from a public or shared device so that others are not able to view or record your password or other Account information. You will use any and all commercially reasonable efforts to prevent unauthorized use of the Account assigned to you and will promptly notify us, in writing, if you suspect that an Account is compromised or misused or if any user ID, password or other access credentials are lost, stolen, compromised, or misused.
- Liability for Unauthorized Access. You understand, acknowledge, and agree that to the extent permitted by applicable law, we are not and shall not be held responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by, or in connection with the unauthorized use of your Account. You are solely responsible for the use of and access to your Account, and any acts or omissions made through or with your Account.
- Truthfulness of Information. Any Account information you provide to us must be accurate, current, truthful, and complete, and you will keep your Account information accurate, current, truthful, and complete. We may identify you and send notices, statements, and other information by e-mail or through your Account.
- Monitoring. You understand, acknowledge, and agree that we have the right, but not the obligation, to monitor your Account, including any messages you send and your Content, for any reason. You further understand, acknowledge, and agree that we may:
- remove anything that is, in our sole discretion, unacceptable, inappropriate, or not in compliance with these Terms;
- disclose data to law enforcement agencies or authorities who may investigate reports of misuse or abuse of the Account, the Platform, and/or Services; and
- suspend or terminate access to the Account, at any time and without prior notice.
- Disqualification. Safety of our Event Organizers, Property Managers, and other Users is of the utmost importance for Veneo. Accordingly, we may terminate an Account and prohibit the creation of future Accounts under the following circumstances:
- If a background check performed pursuant to Section 3(b), above, reveals a history of violent or harmful behavior, including, without limitation, any complaint or arrest for violent crimes, sex offenses, or deceitful or fraudulent behavior, or would otherwise indicate a potential harm to other Users;
- If information becomes known to Veneo that would reveal a threat to the safety or comfort of Event Organizers, Property Managers, Veneo, or other Users;
- You provide us or other Users with false or misleading information (for the avoidance of doubt, the good faith use of a preferred name or personal pronouns shall not be considered false or misleading), including in a Listing; or
- You otherwise violate these Terms.
4. Permitted Use
- Permitted Use. You may use the Platform and Services only within the intended purpose and permitted use. You acknowledge that the purpose of the Account is to provide you with access to the Services, allow you to interact with the Services, such as providing information about a Venue to make it available for Booking and Listing, and communicating with other Users to facilitate Bookings and Listings. Any use for other purposes or particular misuse of the Services or Platform is not permitted.

- Using a bot, pretext, spider, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the Platform;
- Using, copying, displaying, mirroring, or framing the Platform, any Content, or any page layout or design without our consent;
- Requesting, making, or accepting a booking or any payment outside of the Platform to avoid paying fees, taxes or for any other reason, except as permitted by our Property Manager Policy;
- Using Content except for the limited purposes of providing Property Manager services or becoming an Event Organizer, unless you have permission from the Content owner or the use is authorized by us in these Terms or another agreement you have with us;

We are entitled to – without prejudice to any other rights and in our sole and absolute discretion – terminate your Account, the Account held by your authorized users, if any, and/or restrict your access to the Platform and Services. You may not use or access the Platform or Services if we have terminated your Account or otherwise elect not to provide you access to the Platform or Services.
5. Marketplace Role
- Relationship between Veneo and Users. We offer you the ability to use a platform that enables Users to publish, offer, search for, and book Venues. Veneo, specifically, provides software, search, communication, qualification, marketplace, and administrative tooling. While we work hard to ensure our Users have great experiences using Veneo, we do not and cannot control the conduct of Event Organizers and Property Managers. While we require Event Organizers and Property Managers to comply with these Terms, we are not a representative or agent of any User (or affiliated person, entity, or animal) and cannot be held responsible for their actions. Unless Veneo expressly states otherwise in writing for a specific offering:
- Veneo is not a party to the underlying venue rental or services agreement between Property Manager and Event Organizer;
- Veneo does not guarantee that any Listing is accurate, lawful, safe, available, properly insured, or fit for a particular purpose;
- Veneo does not guarantee that any Event Organizer, Property Manager, attendee, vendor, or third party will perform as expected; and
- Veneo does not independently inspect every venue, verify every rule, or confirm every permit, license, insurance policy, or regulatory requirement.
Users are responsible for evaluating whether a venue, event, or counterparty is appropriate for their needs.
- Right to Monitor. You acknowledge that Veneo (or its affiliates) has the right, but does not have any obligation, to monitor the use of the Platform and verify information provided by our Users. For example, we may record, review, monitor, disable access to, remove, or edit text or in-app messages, phone recordings, or other Content to:
- operate, secure and improve the Platform (including for fraud prevention, risk assessment, investigation and customer support purposes);
- ensure Users’ compliance with these Terms;
- comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body;
- address Content that we determine is harmful or objectionable;
- take actions set out in these Terms; and
- maintain and enforce any quality or eligibility criteria, including by removing Listings that don’t meet quality and eligibility criteria.
- Veneo Platform Visits. As part of its commitment to understanding Property Manager needs and maintaining platform quality, Veneo employees, contractors, and authorized representatives may use the Platform to book and access Venues from time to time. These visits support relationship management and feedback gathering, user research, and end-to-end testing of the booking experience. By listing a venue on Veneo, each Property Manager authorizes Veneo to make such bookings without prior notice beyond the standard booking confirmation. Veneo team bookings are subject to the Property Manager's available calendar, will be placed through the standard booking flow, and will be made at no charge. Veneo will identify itself as the Event Organizer when initiating such bookings.
- Cooperation. Users agree to cooperate with and assist Veneo (or its affiliates) in good faith, and to provide us with such information and take such actions as may be reasonably requested by us with respect to any investigation undertaken by us regarding the use or abuse of the Veneo Platform. Veneo is not acting as an agent for any User.
6. AI-Powered Features
Veneo's Services include AI-powered tools — including the Veneo Shopping Assistant — that generate AI-Assisted Content such as venue recommendations, availability estimates, match summaries, venue descriptions, and related outputs. The following terms apply specifically to your use of these features:
- No warranty on AI-Assisted Content. AI-Assisted Content is provided for informational and convenience purposes only. Veneo does not warrant the accuracy, completeness, timeliness, or fitness for any particular purpose of any AI-Assisted Content. Venue availability, pricing, capacity, and rules can change; AI-Assisted Content may not reflect the most current information.
- Your responsibility to verify. You are solely responsible for independently verifying any AI-Assisted Content before relying on it to make a Booking, financial commitment, contract, or other business decision. AI-Assisted Content is not a substitute for your own due diligence or for direct confirmation with a Property Manager.
- Not professional advice. AI-Assisted Content does not constitute legal, financial, insurance, permitting, or any other form of professional advice.
- Interaction data. Veneo may use your interactions with AI-powered features — including queries, preferences, and feedback — to improve the Services and the underlying models, consistent with the Privacy Policy. Veneo will not use the content of private booking-related communications to train third-party AI models without your consent.
- No AI-generated Listings. Property Managers may not use AI tools to generate or substantially fabricate Listing content, venue descriptions, photo captions, or pricing in a way that is inaccurate or misleading. AI-assisted formatting or editing of accurate content is permitted.
7. User Content
- License to Content. Parts of the Platform enable you to provide, share, or communicate Content with the Platform, Veneo, and other Users. By providing Content, in whatever form and through whatever means, you grant Veneo a non-exclusive, worldwide, royalty-free, perpetual, sublicensable and transferrable license to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit, in any manner such Content to provide and promote the Platform, in any media or form, known or unknown to date and in particular over the internet and social networks. If Content includes personal information, such Content will only be used in compliance with our Privacy Policy. This license does not apply to information Veneo receives through Google APIs when a Property Manager connects a Google Calendar, which Veneo handles only as described in Section 17 of the Privacy Policy.
- Prohibited Content. You may not, nor may your Account be used to transmit Content that is, endorses, includes, or promotes (in each case, the determination of which is in Veneo’s sole and absolute discretion):
- Primarily advertising or other commercial content, including company logos, links, or company names, except as directly related to a Listing, Booking, Venue, Property Manager, or Event Organizer;
- Spam, unwanted contact, or content that is shared repeatedly in a disruptive manner;
- Illegal or harmful activity, or that is sexually explicit or suggestive, violent, graphic, threatening, or harassing;
- False, misleading, disparaging, or defamatory;
- Discriminatory against a person on the basis of their race, religion, gender, age, familial status, marital status, ethnicity, nation of origin, sexual orientation, sex, gender identity, caste, pregnancy and related medical conditions, or disability (for more information about what is and is not permitted related to these protected characteristics, please see our Nondiscrimination and Accessibility Policy);
- An attempt to impersonate another person, Account, or entity, including a representative of Veneo;
- A violation of another person or entity’s rights, including intellectual property rights and privacy rights;
- A disclosure of another person’s private information without their permission, including content that is sufficient to identify a listing’s location or depictions taken without their knowledge;
- Obscene, offensive, or otherwise unprofessional.
- Your Responsibility. You are solely responsible for your Content and any Content created through or using your Account, whether by you or a third-party who has accessed your Account, and ensuring that your Content does not violate these Terms.
8. Third Party Content
- Links to and Integration with Other Platforms. Use of certain links or integrated features on the Platform will direct you to third party feeds, software, websites or applications (collectively, “Third-Party Platforms”), including, but not limited to, Stripe for identity verification and payment processing. Such Third-Party Platforms are not under the control of Veneo, and we are not responsible for the content or services of any such Third-Party Platforms or any link contained in such Third-Party Platform. Links to Third-Party Platforms included on or through the Platform are provided for your convenience, and the inclusion of such links does not imply a recommendation or endorsement by us of any such Third-Party Platform or the products or services or information offered therein. If you decide to access any Third-Party Platform information, you do so entirely at your own risk. In no event shall we be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such Third-Party Platform. We strongly advise you to read the terms of service and privacy policies (and/or any other applicable document, contract, or agreement) of any Third-Party Platform or any other website or services that you visit.
- Other Technologies. We may include other integrated technologies or services in the Platform and Services, as we deem necessary. Any such additional technology will be subject to the restrictions in our Privacy Policy, which may be updated to reflect any such addition.
- Non-Reliance. Any content provided by Veneo through the Services is intended to be used and must be used for informational and educational purposes only. It is very important to do your own analysis and consult with a professional advisor before making any financial, tax, or legal decision based on your own personal circumstances. You should take independent financial, tax, and legal advice from a professional in connection with, or independently research and verify, any information that is provided by us or the third-parties and wish to rely upon, whether for the purpose of making an investment, tax, or legal decision or otherwise. Any content, data, information, or publications made available through the Services are furnished by us on an as-is basis for your convenience and information. Any opinions, advice, statements, services, offers, or other information made available by third parties are those of the respective authors or publishers and not of Veneo. Such information should not be interpreted as approval by Veneo of those content or information you may obtain from them. Veneo has no control over the content or information of these resources. Veneo disclaims any warranty or representation, either express or implied, that the information in such publications is accurate or complete.
9. Intellectual Property.
- Your Responsibilities. You are responsible for any Content (defined in Section 7(a), above) that you create, use, or post on or through the Platform, including its legality, reliability, and appropriateness. By posting Content on or through the Platform, you represent and warrant that the Content:

We make no representations concerning any Content or Data contained in or accessed through the Platform or Services, and Veneo will not be responsible or liable for the accuracy, compliance, legality, truthfulness, correctness, or decency of material contained in or accessed through the Platform or Services. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS EXPRESSLY PROVIDED HEREIN, YOUR USE OF THE PLATFORM AND SERVICES ARE PROVIDED TO YOU “AS IS” AND “AS AVAILABLE.” VENEO, ITS RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS EXPRESSLY DISCLAIM ALL OTHER REPRESENTATIONS, ENDORSEMENTS, WARRANTIES, AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATION, WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, COMPLETENESS, SECURITY, RELIABILITY, SUITABILITY, ACCURACY, CURRENCY OR AVAILABILITY, ERROR-FREE, UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR ANY WARRANTY ARISING FROM A COURSE OF DEALING, PERFORMANCE, OR TRADE USAGE. YOUR SOLE AND EXCLUSIVE REMEDY, AND OUR SOLE OBLIGATION TO YOU OR ANY THIRD PARTY FOR ANY CLAIM ARISING OUT OF YOUR USE OF THE PLATFORM, IS THAT YOU ARE FREE TO DISCONTINUE YOUR USE OF THE PLATFORM AT ANY TIME.
- Warranties Required by Law. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
12. Limitation of Liability
- Limitation of Liability. Neither Veneo (including its affiliates and personnel) nor any other party involved in creating, producing, or delivering the Platform or any Content is or will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Terms, (ii) the use of or inability to use the Platform or any Content, (iii) any communications, interactions or meetings you may have with someone you interact or meet with through, or as a result of, your use of the Platform, or (iv) any Listing, including the Booking thereof, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Veneo has been informed of the possibility of such damage, even if a limited remedy set out in these Terms is found to have failed of its essential purpose.
- Aggregate Liability. Except for our obligation to transmit payments in accordance with our Payments and Refund Policy, in no event will Veneo’s aggregate liability for any claim or dispute arising out of or in connection with these Terms, your interaction with any Users, or your use of or inability to use the Platform, any Content, or any Service, exceed:
- to Event Organizers, the amount you paid as an Event Organizer during the 12-month period prior to the event giving rise to the liability,
- to Property Managers, the amount paid to you as a Property Manager in the 12-month period prior to the event giving rise to the liability, or
- to anyone else, one hundred U.S. dollars (US$100).
These limitations of liability and damages are fundamental elements of the agreement between you and Veneo. If applicable law does not allow the limitations of liability set out in these Terms, the above limitations may not apply to you.
13. Indemnification
- Indemnification. To the maximum extent permitted by applicable law, you agree to and shall (at Veneo’s option) defend, indemnify, release, and hold harmless Veneo and its affiliates, officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, judgments, losses, and expenses, including reasonable legal and accounting fees, arising out of, related to, or in any way connected with:
- your use of the Services;
- your Listings, events, Bookings, venues, or conduct;
- your interaction with any User, access or use of a Venue, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, stay, participation or use;
- your Content;
- your breach, violation, default, or misinterpretation of these Terms, incorporated policies, or applicable law;
- your failure, or our failure at your direction, to accurately report, collect or remit taxes;
- your improper use of the Platform; or
- your infringement or misappropriation of third-party rights.
- Property Manager release. Each Property Manager, by using the Services, releases and holds harmless Veneo and its affiliates, officers, directors, employees, and agents from any and all claims, losses, liabilities, and damages arising out of or related to the Property Manager's use of the Services, including without limitation claims arising from an Event Organizer's use or the condition of the Property Manager's venue, to the fullest extent permitted by applicable law.
- Veneo's indemnification of Users. Veneo will defend, indemnify, and hold you harmless from and against any third-party claim alleging that the Veneo platform itself (excluding User Content, Property Manager Listings, and AI-Assisted Content) infringes a United States patent, copyright, or trademark, provided that: (a) you promptly notify Veneo of the claim in writing; (b) Veneo has sole control over the defense and settlement; and (c) you provide reasonable cooperation. Veneo's obligation under this paragraph does not apply to claims arising from your modification of the Services, your combination of the Services with materials not provided by Veneo, or your use of the Services in a manner not permitted by these Terms.
14. Resolving Complaints and User Reports
- Reports about Event Organizers. If a Property Manager provides valid evidence that you, your clients, customers, and other Event Organizers who visit the Venue during your Booking, whether at your invitation or otherwise, so long as they are known to you or otherwise affiliated or associated with you (“Additional Event Organizers”), your pets, service animal, or emotional support animal, or those of your Additional Event Organizers:
- damaged the complaining Property Manager’s real or personal property, or real or personal property the complaining Property Manager is responsible for, or has an economic interest in; or
- caused loss of booking income for bookings via the Platform or other consequential damages which result directly from the damage caused under (i) above; or
- otherwise caused the complaining Property Manager to incur cleaning or replacement costs in excess of 50% of the amount paid to the Property Manager;
- caused or threatened bodily injury or harm;
- violated the expected behavior of Event Organizers in the Venue, in a way that violates these Terms or the intended and reasonably expected use of the Venue;
the complaining Property Manager can notify Veneo by making a User Report.
- Reports about Property Managers. If an Event Organizer or Additional Event Organizer provides valid evidence that you, your affiliates, agents, associates, and other persons at the Venue, whether at your invitation or otherwise, so long as they are known to you or otherwise affiliated or associated with you (“Property Manager Affiliates”), your pets, service animal, or emotional support animal, or those of your Property Manager Affiliates:
- did not provide the Venue as described in the Listing, or the Venue was substantially different from its description, including the provision of any amenities;
- created an unsafe or unwelcoming environment;
- caused or threatened bodily injury or harm;
- violated the expected behavior of Property Managers and Event Organizers in the Venue, in a way that violates these Terms or the intended and reasonably expected use of the Venue;
the complaining Event Organizer can notify Veneo by making a User Report.
- User Reports and Action. If a User makes a User Report about you or your Venue, you may be notified of the User Report and given an opportunity to respond. If you agree to pay or refund, or if Veneo determines that the User Report is valid and you are responsible for any damages or refund, Veneo can collect the amount of the damages from you from the payment method used to reserve the associated Booking or from the amount to be paid out from the associated Booking. You agree that Veneo may seek to recover from you under any insurance policies you maintain and that Veneo may also pursue against you any remedies it may have available under applicable law, including referral of the matter to a collections agency, and/or pursuit of available causes of action and/or claims against you. You agree to cooperate in good faith, provide any information Veneo requests, execute documents, and take further reasonable action, in connection with User Reports, complaints, claims under insurance policies, or other claims related to your provision, access to, or use of the Services or a Venue. Veneo may, in its discretion and in addition to any other action, suspend your Account, block or modify any Booking, cancel or modify any Booking, or take any other action it determines, in its sole and absolute authority, is an appropriate action in response to the User Report.
15. Governing Law and Dispute Resolution
- Governing Law. If you reside or have your place of establishment in the United States, these Terms will be interpreted in accordance with the laws of the State of Washington and the United States of America, without regard to conflict-of-law provisions. Judicial proceedings (other than small claims actions) that are excluded from the Arbitration Agreement must be brought in state or federal court in Seattle, Washington, unless we both agree to some other location. You and Veneo both consent to venue and personal jurisdiction in Seattle, Washington.
- NOTICE: PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY BECAUSE THEY PROVIDE THAT YOU AND VENEO AGREE TO RESOLVE ALL DISPUTES BETWEEN US THROUGH BINDING INDIVIDUAL ARBITRATION AND INCLUDE A CLASS ACTION WAIVER AND JURY TRIAL WAIVER.
- Application. This Arbitration Agreement only applies to you if your country of residence or establishment is the United States. If your country of residence or establishment is not the United States, and you nevertheless attempt to bring any legal claim against Veneo in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.
- Overview of Dispute Resolution Process. Veneo is committed to participating in a consumer-friendly dispute resolution process. To that end, these Terms provide for a two-part process for individuals to whom this Section 15 applies: (1) an informal negotiation directly with Veneo’s customer service team, and if necessary (2) a binding arbitration in accordance with the terms of this Arbitration Agreement. You and Veneo each retain the right to seek resolution of the dispute in small claims court as an alternative to arbitration.
- Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Veneo each agree to send the other party an individualized notice of the dispute in writing (“Pre-Dispute Notice") and attempt in good faith to negotiate an informal resolution of the individual claim. You must send your Pre-Dispute Notice to Veneo by mailing it to 131 Continental Dr, Suite 305, Newark, DE 19713, US with a copy emailed to support@veneo.ai. Veneo will send its Pre-Dispute Notice to the email address associated with your Veneo account. A Pre-Dispute Notice must include: the date, your name, mailing address, the email address you used to set up your Account, your signature, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written demand for arbitration with the arbitration provider. A claimant’s Pre-Dispute Notice requirement is a prerequisite to any arbitration, and a copy of the Pre-Dispute Notice and evidence that it was sent as required by this Section must be attached to any arbitration demand.
- Agreement to Arbitrate; Delegation. You and Veneo mutually agree that any dispute, claim or controversy arising out of or relating to these Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Platform, Services, or any Content (collectively, “Disputes”) will be settled by binding arbitration on an individual basis (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to a Dispute, you and Veneo agree that an arbitrator will decide that issue. For the avoidance of doubt, you and Veneo agree that any question regarding arbitrability and the formation, enforceability, validity, scope, or interpretation of all or part of this Section, including any dispute over compliance with the Pre-Dispute Notice requirement and a party’s responsibility to pay arbitration fees, shall be resolved exclusively by an arbitrator.
- Exceptions to Arbitration Agreement. You and Veneo each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in Seattle, Washington:
- any claim or cause of action alleging actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights;
- any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); or
- a request for the remedy of public injunctive relief;
- any claim or cause of action for vexatious litigation; or
- any individual claim of sexual assault or sexual harassment arising from your use of the Platform or Services.
You and Veneo agree that any request for the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to Section 3 of the Federal Arbitration Act.
- Arbitration Forum Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this Arbitration Agreement, and not state law. The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with Rules 1, 6–7, 8–9, and 11–12, 45, 54, and 56 of the Federal Rules of Civil Procedure (“Selected Federal Rules") (https://www.uscourts.gov/rules-policies/current-rules-practice-procedure/federal-rules-civil-procedure) and AAA’s Commercial Arbitration Rules then in effect (the “AAA Rules”), except as the Selected Federal Rules or AAA Rules are modified by or conflict with this Arbitration Agreement. If the AAA cannot and will not administer the arbitration, you and Veneo shall confer and select an alternative arbitral forum, and if we are unable to agree, either you or Veneo may ask a court to appoint an arbitrator pursuant to 9 U.S.C. § 5. In that event, the arbitration will be conducted in accordance with the rules of the appointed arbitral forum, unless those rules are inconsistent with the provisions of this Arbitration Agreement.
- Arbitrator’s Decision. The arbitrator will issue a written decision which shall include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.
- Jury Trial Waiver. YOU AND VENEO ACKNOWLEDGE AND AGREE THAT BOTH PARTIES ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AS TO ALL ARBITRABLE DISPUTES.
- No Class Actions or Representative Proceedings. You and Veneo acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing or as provided in this agreement, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.
- Amendment to Agreement to Arbitrate. If Veneo amends this Section after the date you last accepted these Terms (or accepted any subsequent changes to these Terms), you may reject the change by sending us written notice no later than 30 days of the date the change is effective. Your notice must include your name, mailing address, the date of the notice, your Veneo username, the email address you used to set up your Veneo account, your signature, and an unequivocal statement that you want to opt out of the amended Section. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Veneo (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Veneo.
16. General Terms
- Assignment. You understand, acknowledge, and agree that we have the right to assign or transfer these Terms and its rights and obligations hereunder to any third party. You understand, acknowledge, and agree that you shall not assign or transfer your rights or subcontract or delegate the performance of any of your obligations under these Terms without our prior written consent, which may or may not be given, withheld, or delayed at our sole and exclusive discretion.
- Communications and Marketplace Operations. By using the Services, you consent to receive transactional, operational, and account-related communications by email, in-product messaging, phone, or text message, subject to applicable law and your communication preferences. Veneo may review, route, summarize, or store marketplace communications for fraud prevention, customer support, safety, dispute resolution, product improvement, and operational quality.
- Entire Agreement. These Terms, including the Privacy Policy and any other document incorporated by reference in these Terms, constitute the entire agreement between you and Veneo relating to your use of the Platform and our provision of the Services. No modification or amendment will be binding upon us unless in a written instrument signed by our duly authorized representative or made available to you by us.
- Impossibility. We shall not be bound to meet any obligation if prevented from doing so as a consequence of acts of god or force majeure, including but not limited to measures taken or imposed by any government or public authority or in case of any other event beyond the control of us, including but not limited to natural disasters (such as storm, hurricane, fire, flood, earthquake), war, civil unrest, terrorist activities, states of emergency, government sanctions, embargos, nationalizations, strikes and breakdowns of public utilities (such as of electricity or telecommunication services). We shall use all reasonable efforts to notify you of the circumstances causing the delay and to resume performance as soon as possible, both without undue delay.
- Non-Circumvention. Veneo invests substantial resources in building its marketplace, vetting Property Managers, qualifying Event Organizers, and facilitating connections between them. That matchmaking is inherently valuable and is solely owned by Veneo. If Veneo introduces an Event Organizer to a Property Manager — or a Property Manager to an Event Organizer — through the Services, neither party may use that introduction to transact outside of Veneo for the same or a substantially similar booking event, venue, or engagement, without Veneo's prior written consent, for a period of 24 months from the date of first introduction. This restriction applies to initial transactions, repeat bookings, renewals, and any other engagement that is the same or reasonably similar to what Veneo facilitated. If a User breaches this Section, the breaching party shall pay Veneo liquidated damages equal to 30% of the subtotal of the relevant booking (excluding taxes) as a reasonable estimate of Veneo's lost revenue — not as a penalty. This amount represents the parties' reasonable pre-estimate of Veneo's harm and is the exclusive remedy for breach of this Section.
- Severability. If any provision of these Terms is held to be illegal, invalid or unenforceable, this will not affect any other provision of these Terms and the agreement between you and us will be deemed amended to the extent necessary to make it legal, valid, and enforceable.
- Third-Party Beneficiaries. You understand and agree that, except as otherwise provided for in these Terms, there shall be no third-party beneficiaries to the Terms.
- Titles and Headings. Titles and headings of sections of these Terms are for convenience only and shall not affect the construction of any provision of these Terms.
- Waiver. You and Veneo agree that if either of us fails to exercise or enforce any legal right or remedy which is contained in these Terms (or which it has the benefit of under any applicable law), this failure to act will not be taken to be a formal waiver of any rights and that those rights or remedies will still be available.
