Property Manager Policy
Last Modified:
Introduction
This Property Manager Policy (“Property Manager Policy”) describes the terms and conditions under which Property Managers may offer a Venue to Event Organizers. Together with our Terms of Service, this Property Manager Policy is a contract entered into between You (“you,” “your,” “yours”) and Veneo Inc., a Delaware corporation (collectively, “we,” “our,” “us,” or “Veneo”). Any defined terms used but not defined herein have the meaning assigned to them in the Terms of Service.
1. Listings and Bookings
- Venues and Listings. As a Property Manager, Veneo offers you the ability to use the platform in accordance with our Terms of Service and this Property Manager Policy to share your Venue with our Users. You can, and in some cases must, provide certain information to Users about your Venue, such as the cost per hour, availability times and dates, number of attendees permitted, and photos of the Venue. Veneo may, in its sole and absolute discretion, approve, decline, or revoke any submission, for any reason or no reason at all. Upon approval by Veneo, the Venue will be advertised on the Platform as available (each, a “Listing”).
- Descriptions. Property Managers are solely responsible for Listings they submit or approve for publication. Property Managers represent and warrant that they have all rights, consents, licenses, and authority necessary to list and make available any venue or related service. Property Managers must ensure that Listings are accurate in all material respects, including as applicable:
- venue identity, address, and Venue configuration;
- permitted event types and prohibited uses;
- pricing, overtime charges, deposits, cleaning fees, staffing fees, and other charges;
- capacity limits, hours of use, setup and breakdown windows, and access instructions;
- accessibility features and known access limitations;
- alcohol, catering, minors, amplified sound, ticketing, security, and insurance requirements;
- equipment, amenities, furnishings, and support services; and
- any surveillance, recording, or on-site monitoring practices.
Veneo may edit, standardize, reorganize, enrich, suppress, or remove Listing information to improve marketplace quality, reduce risk, or comply with law or platform standards.
- Bookings. When a User selects your Listing to book or reserve, and completes the request (each, a “Booking”), you will be notified and be given an opportunity to confirm the Booking. The Booking contract is formed directly between you and the Event Organizer, and incorporates all of the Terms of Service and any amenities or offerings identified in the Listing, whether or not you have expressly agreed to provide them elsewhere. Veneo is not a party to the Booking. It is your responsibility to read and understand your obligations, including any applicable law, taxes, or fees paid to other third-parties and government agencies relating to the Booking.
- Affiliation with Veneo. As a Property Manager, your relationship with Veneo is that of an independent individual or entity and not an employee, joint venturer, or partner of Veneo. Veneo merely provides a service to you (the Platform and the collection and distribution of payments through Stripe) as an independent third-party vendor or service provider. Veneo does not direct or control your Venues or services as a Property Manager, and you understand that you have complete discretion whether and when to provide the Venue, and at what price and what terms to offer it, if at all.
- Connected Calendars. You may choose to connect a calendar to the Platform so that your Venue's availability stays current and Bookings appear on your calendar. If you do: (i) you represent and warrant that you own that calendar or are otherwise authorized to connect it and to permit Veneo to access it; (ii) you authorize Veneo to read events on that calendar and to create, update, and delete events on it in connection with Booking requests and Bookings; (iii) you remain responsible under Section 3(a) for keeping the available times and dates in your Listing accurate, and Veneo is not responsible or liable for any delay, error, or interruption in calendar synchronization or for any resulting scheduling conflict; and (iv) an event on your calendar is a convenience copy only, and changing or deleting it does not change or cancel a Booking, which may be changed or cancelled only as provided in the Terms of Service and the Cancellation Policy. Veneo's handling of information from your connected calendar is described in Section 17 of the Privacy Policy. You may disconnect your calendar at any time.
2. Assumption of Risk
- Assumption of Risk. You acknowledge that becoming a Property Manager, making a Listing, allowing Bookings, and permitting Event Organizers into a Venue each carry inherent risks and you agree that, to the maximum extent permitted by applicable law, you assume the entire risk arising out of your access and use of the Platform, including the public or private availability of any Venue, or any other interaction you have with other Users, whether in person or online. You represent and warrant that you have had the opportunity to investigate and research the Platform and any laws, rules, regulations, and obligations that may be applicable to your Venues, Listings, Bookings, and Event Organizers, and have so done. This means it is your responsibility to ensure legal compliance and you are not relying upon any statement made by Veneo.
- Response to Risks. Veneo is committed to working with law enforcement as appropriate and responding to valid law enforcement requests. You agree that we are authorized to take any action we deem reasonable or necessary to ensure the safety and well-being of all persons and animals at a Venue, including intervention, where necessary.
- User Reports. If an Event Organizer or attendee is not using your Venue within reasonable expectations, or is causing an unsafe or unwelcome situation, please make a User Report. If it is an emergency or someone is at risk of immediate harm, please call 911.
3. Property Manager Requirements and Responsibilities
- Listing Requirements. You are responsible and liable for your own acts and omissions, including the acts and omissions of any agent of yours or any other person or entity affiliated with you or accessing the Venue (other than an Event Organizer or attendees), and further including the accuracy and truthfulness of any Listing you create. You must keep your Listing accurate and up-to-date, including the available times and dates, amenities, and any photos, at all times.
- Insurance Requirements. You are required to obtain and maintain an insurance policy covering your Venue and any activities including, to the extent applicable, coverage of any Event Organizers and their clients or customers, if permitted. You must provide proof of such insurance to Veneo prior to approval of any Listing.
- Legal Requirements. You are responsible for understanding and complying with any laws, regulations, and contracts with third-parties that apply to your Listing or any services you provide as a Property Manager, including, without limitation, ensuring that your activities as a Property Manager and Event Organizers are permitted by applicable zoning laws and any lease you may have. Veneo does not and absolutely will not provide any legal advice regarding Listings and services as a Property Manager, including whether or not any Booking may be considered a “short-term rental” or “sublease.”
- Non-Circumvention. You may not collect any fees or charges outside of the Platform relating to any current or former Event Organizer or User and any current or former Listing, Booking, Venue, without our express written permission indicating the circumstances under which such collection is permitted, provided that, nothing in this Section shall prohibit any Property Manager from listing the Venue on any other website, application, or platform and permitting similar booking or reservation capabilities so long as the Listing remains truthful and accurate. Veneo has the right to, and may, in its sole and absolute discretion, collect from you any such fees or charges, including specifically, the Service Fee that would have applied, and an additional Circumvention Fee, along with any actual costs associated with pursuing such collection, pursuant to Section 16(e) of the Terms of Service.
- Taxes. As a Property Manager, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit, or include in your price any applicable tax, including, as applicable, VAT, occupancy taxes, income or other taxes. Veneo will not collect or remit any tax on your behalf and is only responsible for its own tax liability related to its income and services. Veneo may, as required in certain jurisdictions, collect and report tax information about you and any payouts we make to you. You shall, upon request by Veneo, provide us with tax documentation sufficient to comply with our own tax obligations.
4. Event Organizer Safety
- Dangerous Conditions. You must not, nor shall you permit any Property Manager Affiliate, whether at the Venue or in any area outside the Venue which may be accessible by attendees, such as a lobby, elevator, waiting room, or shared restrooms (each, a “Common Area”), to commit physical assault, sexual abuse, sexual harassment, domestic violence, robbery, human trafficking, other acts of violence, other crimes, hold anyone against their will, convey an intent to harm yourself or anyone else, in the broadest possible sense that each of these terms can be interpreted. You must not, nor shall you permit any Property Manager Affiliate, to keep unsecured weapons, infectious disease risks, or dangerous animals in a Venue or in any Common Area, or create conditions that increase the likelihood of fire or impede escape in the event of an emergency. Members of dangerous organizations, including terrorist, organized criminal, and violent racist groups, are not permitted in any Venue.
- Cleanliness and Occupation Standards. You must maintain the cleanliness and suitability of each and every Venue or each and every Booking. By confirming a Booking, you agree to thoroughly clean the Venue prior to the Booking, such that a reasonable person would not have a good faith complaint about the cleanliness of the Venue. Unless fully disclosed in the Listing prior to Booking, each Venue must have electricity, access to running water, and restroom facilities either in the Venue itself, or in a Common Area with reasonably dedicated access.
- Commitments to Event Organizers. Absent extenuating circumstances, which shall be investigated by Veneo on a case-by-case basis, you must not cancel after confirming a Booking, fail to make a check-in possible, become unresponsive to Event Organizer questions or concerns, or fail to refuse to participate in any dispute. Such behavior, including persistently and pervasively low ratings, are grounds for termination of your Account.
